Terms and Conditions

  1. Overview of Terms

Welcome to Silvexa Digital Technologies LLC (hereinafter referred to as “we,” “us,” or “the Company”). We primarily provide web design and development, custom computer programming, and related digital technology services.

These Terms and Conditions apply to your access to and use of this website, as well as any web design, website development, or custom programming services you purchase or commission through this website.

Please read these terms carefully before submitting an order, making a payment, or beginning to use our services. By submitting an order or purchasing services, you agree to be bound by these terms. If you do not agree to these terms, please do not purchase or use our services.

  1. Scope of Services

The core business of Silvexa Digital Technologies LLC is custom computer programming, specifically within the web design and development sector. Depending on the specific project agreement, we may provide the following services:

Web page design and layout planning.

Front-end and back-end website development.

Customization of website functionality and programming.

Development of interactive features and business logic.

Functional optimization and technical adjustments for existing websites.

Technical consulting and implementation support related to website development.

The specific scope of services, deliverables, project timelines, costs, and other requirements shall be governed by the service descriptions published on our website, order confirmations, project proposals, or written agreements between the parties.

Unless explicitly stated otherwise in a written agreement, service fees do not include third-party software licenses, domain name registration, website hosting, paid plugins, ongoing maintenance, future feature expansions, or other additional services.

  1. Orders and Service Confirmation

Clients are responsible for verifying the content, pricing, scope of delivery, and other requirements of the selected services prior to purchase.

For custom development projects, we may require the client to provide necessary project materials, functional requirements, branding assets, technical specifications, or other information before work commences.

An order is considered accepted only upon our issuance of an order confirmation or through a written agreement between the parties. In the event of incomplete order information, obvious errors, unsuccessful payment, or identified security risks, we may contact the client for further verification, or—to the extent permitted by applicable law—decline, suspend, or cancel the order. For any changes to the project scope, additional functional requirements, or new tasks, both parties shall reach a prior agreement regarding the associated costs, delivery timelines, and other applicable terms.

  1. Payment and Billing Terms

4.1 One-Time Charges

Unless otherwise explicitly stated in an order or a written agreement between the parties, the web design, development, and custom computer programming services listed on this website are provided as one-time purchases with one-time charges.

Clients shall pay the applicable service fees at the time of placing an order. Once the transaction is completed, we will not automatically initiate recurring charges—whether on a monthly, annual, or any other periodic basis—solely as a result of the client’s purchase of such services.

These terms do not constitute an authorization for subscriptions, automatic renewals, or ongoing periodic payments. Any subsequent new projects, additional features, maintenance services, or other distinct services must be separately confirmed by the client and paid for in accordance with the applicable order or agreement.

4.2 Service Pricing

Service prices shall be determined based on the rates published on the website at the time of purchase, a formal quotation, or the amount confirmed in an order. The applicable currency, taxes, and any other charges will be specified on the checkout page or in the relevant transaction documentation.

If a custom project requires additional development work, we will not include the costs for such unagreed-upon extra tasks as part of the original order without the client’s prior confirmation.

4.3 Payment Methods

Clients may complete transactions using the payment methods displayed and supported on the checkout page. Payments must be processed through the designated payment channels, and the outcome shall be determined by the payment service provider or the relevant transaction records.

If the website utilizes Stripe for payment processing, Stripe acts as a third-party payment service provider. Clients are not required to register for a Stripe account solely to complete a payment; the specific available payment methods are those displayed on the checkout page.

4.4 Payment Confirmation and Commencement of Services

Upon receipt of valid payment confirmation, we will proceed with the arrangement of services in accordance with the order or the written agreement between the parties.

If a client fails to make payment as agreed, if a payment is declined, or if the transaction status cannot be verified, we reserve the right—to the extent permitted by applicable law—to suspend the arrangement of services until the issue is resolved.

4.5 Billing and Transaction Records

Clients are responsible for ensuring that the billing and contact information provided is accurate and complete. Order confirmations, payment vouchers, and relevant transaction records may be used to verify transaction details, address service inquiries, and resolve payment disputes.

Should you encounter duplicate charges, incorrect amounts, or other payment-related issues, please contact us promptly using the contact information provided on this website.

  1. Intellectual Property and Ownership

5.1 Pre-existing Intellectual Property of the Company

Unless otherwise expressly agreed upon in writing by both parties, Silvexa Digital Technologies LLC retains ownership of all intellectual property that it owned or independently developed prior to the commencement of the project, including but not limited to:

General program code, development frameworks, and reusable modules.

General development tools, technical methodologies, algorithms, and technical processes.

General templates, components, scripts, and development resources.

The Company’s name, trademarks, brand identifiers, and website content.

Technical materials, tools, and other pre-existing assets that have not been specifically transferred to the client.

This provision does not affect the client’s ownership of their own pre-existing intellectual property, nor does it infringe upon the legal rights of third parties regarding their own intellectual property.

5.2 Ownership of Client-Specific Deliverables

Upon full payment of the relevant project fees, the intellectual property rights to original web designs, visual mockups, custom code, and other transferable project assets—created specifically for the project and explicitly identified as “deliverables” in the order or written agreement—shall belong to the client, to the extent permitted by applicable law.

To clarify the scope of ownership, the specific deliverables shall be defined by the project scope, order, delivery list, or written agreement confirmed by both parties.

Prior to full payment, the ownership or usage rights regarding such deliverables shall be governed by the written agreement between the parties and applicable law. Unless otherwise expressly agreed, the client may not use any deliverables for which payment has not been completed for commercial launch or transfer.

If applicable law requires the execution of separate intellectual property transfer documents, both parties agree to cooperate reasonably to facilitate such documentation.

5.3 Third-Party Materials and Open-Source Software

Rights to third-party software, open-source components, fonts, images, plugins, frameworks, and any other materials subject to third-party licensing used within the project remain the property of their respective legal owners. Such materials do not automatically transfer to the client simply by being included in the project deliverables. The client must comply with all applicable licensing terms, usage restrictions, and attribution requirements.

For any assets, code, trademarks, images, or other content provided by the client, the client warrants that they possess the necessary rights or authorizations to use such items for the project.

5.4 Restrictions on Intellectual Property Use

Without prior written permission from the relevant rights holder, no party may unlawfully copy, sell, distribute, reverse engineer, modify, or otherwise use the company’s proprietary technical resources or third-party materials in a manner that infringes upon intellectual property rights, except as expressly permitted by applicable law.

Without prejudice to the client’s agreed-upon rights regarding completed and fully paid-for exclusive deliverables, the company reserves the right to continue using its own general technologies, development experience, skills, methodologies, and generic solutions that do not contain the client’s confidential information.

5.5 Project Showcase and Confidentiality

Unless otherwise agreed upon in writing, we will not publicly disclose the client’s confidential information or non-public project materials without the client’s prior consent.

For projects that have been launched publicly and do not involve the client’s confidential information, we shall obtain the client’s prior consent before using the project name, screenshots of public-facing pages, or related work for case studies, promotional purposes, or inclusion in our portfolio.

  1. Client Responsibilities

The client shall:

Provide accurate, complete, and truthful project requirements and all necessary materials.

Ensure that all images, text, trademarks, code, and other materials provided are legally authorized for use.

Review project proposals, test results, and deliverables in a timely manner and provide necessary feedback.

Fulfill payment obligations in accordance with the order or any written agreement between the parties.

Refrain from using our services for any illegal activities or actions that infringe upon the rights of others.

Properly safeguard all relevant accounts, access credentials, and project materials.

In the event of issues arising from inaccurate information provided by the client, failure to provide necessary materials in a timely manner, or unauthorized modification of the deliverables, the respective responsibilities of the parties shall be determined based on the specific circumstances and applicable law.

  1. Acceptable Use

The client may use the website designs, development outputs, and programming services provided by the company solely for lawful business, personal, or other purposes as mutually agreed upon by the parties. Acceptable use includes:

Creating and maintaining a website for a legitimate business.

Displaying lawful products, services, and corporate information.

Using purchased custom features to conduct standard business activities.

Modifying, maintaining, and deploying delivered project outcomes within the scope of authorization.

Complying with applicable laws, third-party software licenses, and relevant contractual agreements.

Clients are responsible for ensuring that their website content, business activities, and data processing practices comply with applicable laws and the rules of relevant platforms.

  1. Prohibited Activities and Consequences of Violations

Clients shall not use the company’s websites, services, or delivered project outcomes to engage in the following:

Publishing or disseminating content that is illegal, fraudulent, threatening, harassing, or infringes upon the rights of others.

Unauthorized access, interference, disruption, or attempts to circumvent security measures of websites, servers, or other systems.

Using the services to distribute malware, viruses, phishing programs, or other harmful code.

Illegally obtaining, collecting, selling, or misusing the personal information of others.

Unauthorized copying, reselling, or distributing of intellectual property owned by the company or materials protected by third-party licenses.

Using project outcomes to carry out fraudulent transactions, identity impersonation, or other illegal activities.

Using developed deliverables in a manner that violates applicable laws, license terms, or agreements between the parties.

Otherwise harming the legal rights and interests of the company, the client, third parties, or relevant systems.

If we have reasonable grounds to believe that any of the above activities have occurred, we may take appropriate measures—commensurate with the severity of the issue—including requiring the cessation of the violation, suspending relevant services, restricting access, canceling unfulfilled service arrangements, or terminating services to the extent permitted by law.

In cases involving suspected illegal activity, we may provide necessary information to relevant authorities as required or permitted by applicable law.

Regarding the cancellation of paid orders, refunds, or the handling of completed deliverables, determinations will be made based on applicable laws, the terms of the order, and the specific facts of the case; nothing in these terms shall exclude any rights the client may have under the law.

  1. Service Delivery, Modifications, and Support

The methods of service delivery, estimated timelines, number of permitted modifications, and the scope of technical support shall be governed by the relevant service descriptions, order confirmations, or written agreements between the parties.

If a client requests modifications that fall outside the scope of the original order, we may provide an additional quote and proceed with the extra work upon receiving the client’s confirmation. Unless otherwise agreed, ongoing website maintenance, server management, domain name renewals, third-party software subscriptions, long-term technical support, and future functional enhancements are not automatically included in the one-time service fee.

Upon delivery, the client shall conduct an acceptance review in accordance with the project agreement and promptly raise any issues related to the agreed-upon scope of delivery. Both parties shall communicate and address such issues in a reasonable and good-faith manner.

  1. Cancellations, Refunds, and Service Termination

Requests for service cancellation and refunds will be handled in accordance with the terms of the order, the refund policy published on this website, and applicable law.

Conditions for cancellation and refunds may vary depending on the stage of the project—whether it has yet to commence, is currently underway (in the case of custom development), or has already been completed and delivered.

Nothing in these terms shall exclude any mandatory rights to a refund, withdrawal, or other statutory entitlements that consumers or other clients may possess under applicable law.

Should the client commit a material breach of these terms, or if the continued provision of services poses risks related to legal compliance, security, or intellectual property, we reserve the right to suspend or terminate the relevant services to the extent permitted by law.

The termination of services shall not affect payment obligations, confidentiality obligations, intellectual property provisions, or any other terms that, by law, are intended to remain in effect following such termination.

  1. Confidentiality and Data Protection

In the course of providing services, both parties may have access to non-public information related to the project. Each party shall take reasonable measures to protect such information and shall not disclose it to any unauthorized third party, except where such disclosure is required by law or the information has already become publicly available through lawful means.

The collection, use, storage, and disclosure of personal information by our company are governed by the Privacy Policy published on this website.

When submitting project materials, the client should avoid providing unnecessary sensitive personal information, payment security credentials, or other confidential data unrelated to the project.

  1. Service Disclaimer

We will provide the agreed-upon web design, website development, and custom programming services in a reasonable manner, in accordance with the order or a written agreement between the parties.

Unless otherwise explicitly agreed upon in writing and permitted by applicable law, we do not guarantee that the website or software will be fully compatible with all devices, browsers, third-party platforms, or future technological environments; nor do we guarantee specific business outcomes, traffic, sales, search rankings, or profits.

Third-party hosting, plugins, software, payment platforms, and other external services may be subject to changes, malfunctions, or interruptions. While we will provide reasonable assistance regarding issues with such external services—within the scope of our agreed-upon services—we cannot provide absolute guarantees concerning the actions of third parties beyond our control.

Nothing in these terms shall exclude any warranties, liabilities, or consumer rights that cannot be excluded or limited under applicable law.

  1. Limitation of Liability

To the maximum extent permitted by applicable law, our company shall not be held liable—beyond the scope stipulated by applicable law or any valid agreement between the parties—for losses arising from events beyond our reasonable control, failures of third-party services, incorrect information provided by the client, unauthorized modifications, or the client’s breach of these terms.

To the extent permitted by law, our company shall not be liable for indirect, incidental, special, or punitive damages, nor for the loss of anticipated profits or business opportunities, except where otherwise provided by applicable law.

For claims directly related to a specific paid service, and to the extent permitted by applicable law (and not in violation of mandatory legal provisions), our company’s aggregate liability shall, in principle, not exceed the service fees actually paid by the client under the order that gave rise to the claim. The above limitations do not apply to liabilities that cannot be limited or excluded under applicable law, including—but not limited to—liability for fraud, willful misconduct, or any other liability that, by law, cannot be restricted.

Nothing in these Terms limits any statutory rights to which the Customer is entitled under applicable law.

  1. Liability and Indemnification

Should the Customer breach these Terms, infringe upon the intellectual property rights of a third party, use the Company’s services unlawfully, or cause a third-party claim to arise due to unlawful content provided by the Customer, the Customer shall—to the extent permitted by applicable law—be liable for any losses or reasonable expenses directly resulting from such actions for which the Customer is legally responsible.

The Customer is not required to indemnify the Company for losses arising from the Company’s own unlawful acts, willful misconduct, or liabilities for which the Company is legally responsible.

  1. Dispute Resolution

In the event of a dispute arising from or relating to these Terms, payments, service delivery, intellectual property, or other related matters, the parties shall first attempt to resolve the issue through amicable consultation via email or other written communication.

If the dispute cannot be resolved through consultation, the parties may—to the extent permitted by applicable law—seek resolution through mediation, other mutually agreed-upon alternative dispute resolution methods, or by bringing the matter before a court of competent jurisdiction.

Any arbitration arrangement is subject to the valid consent of both parties and must be permitted under applicable law. Nothing in these Terms shall be construed as a waiver of the Customer’s right to seek judicial remedies or their mandatory consumer protection rights.

  1. Governing Law and Jurisdiction

These Terms are governed by and shall be construed in accordance with the applicable law.

To the extent permitted by applicable law, any disputes arising in connection with these Terms may be submitted to a court of competent jurisdiction.

The specific governing law and jurisdictional arrangements shall be determined based on the registered location of Silvexa Digital Technologies LLC, its actual business operations, the Customer’s location, and any applicable mandatory legal requirements. Pending the confirmation of such details, these Terms do not specify the laws of any particular state, country, or region.

Where applicable law grants consumers non-waivable statutory protections, such protections shall not be excluded by these Terms.

  1. Amendments to Terms

We may update these Terms to reflect changes in the scope of our services, business operations, or legal requirements.

Updated Terms will be posted on this website, with an effective date indicated where applicable. For significant changes that, by law, require separate notification or consent, we will take appropriate measures in accordance with the law.

Updated terms shall not automatically apply retroactively to orders already placed, unless otherwise agreed upon by both parties or required by applicable law.

  1. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction or a competent authority, the remaining provisions shall continue to be valid to the fullest extent permitted by applicable law.

  1. Entire Agreement

These Terms, along with the applicable Privacy Policy, Refund Policy, Service Descriptions, Order Confirmations, and any written supplementary agreements expressly consented to by both parties, collectively constitute the agreement governing the relevant services.

In the event of any conflict between these documents, interpretation shall be based on the specific provisions of the documents, the time of their execution, applicable law, and the clearly expressed intent of both parties.
